Verra Wellness — Participant Waiver & Release of Liability
Verra Wellness LTD · Unit M107, Ground Floor, Radiant Height, Reem Island, Abu Dhabi, UAE By participating in classes or using facilities at Verra Wellness LTD ("the Studio"), including but not limited to Mat Pilates, Reformer Pilates, Hot Barre, Hot Pilates, Hot Yoga, Hot Glutes, Barre, Yoga, Swing Yoga, and Sound Bath, the participant ("Participant") agrees to the following terms:
1. Acknowledgment of Risks
The Participant acknowledges that participating in Studio classes involves inherent risks, which may include but are not limited to: Muscle strains, joint injuries, sprains, or aggravation of pre-existing conditions Heat-related illness, dehydration, or overexertion during heated classes (up to 35°C) Falls, pinching, or other injuries from Reformer, suspension, or aerial equipment Other unforeseen physical risks The Participant understands that these risks may result from their own actions, inactions, or the actions, inactions, or negligence of others. Participants acknowledge that adherence to instructor guidance, proper use of equipment, hydration, and rest breaks are essential to minimise risk.
2. Health Acknowledgements & Medical Clearance
By participating, the Participant confirms that: They are medically and physically fit to participate in physical activity, including hot or aerial classes, and have not been advised by a physician to avoid exercise They are not aware of any heart, vascular, bone, joint, or muscular conditions that could be worsened by physical activity They have never experienced chest pain during exercise They will wear non-slip grip socks as required by the Studio They will notify Studio staff immediately if any unusual symptoms or hazards arise during class
Hot Room Specific Declaration (Solara Room)
The Participant confirms that they do NOT have any of the following conditions, which are contraindicated for hot room classes: Pregnancy Cardiovascular conditions, including heart disease, hypertension, or a pacemaker Recent surgery Acute illness or fever By booking a Solara Room class, the Participant confirms they have read and understood this declaration. If in any doubt, they will consult a qualified medical professional before attending.
If pregnant
The Participant has notified Studio staff and instructors before attending class If required, they have completed a session with a qualified medical professional approving participation
3. Assumption of Risk
The Participant voluntarily assumes all risks associated with participation, including but not limited to personal injury, property damage, heat-related issues, or any other loss or injury resulting from participation in Studio classes or use of Studio facilities.
4. Release of Liability / Waiver
In consideration of being permitted to participate, the Participant, on behalf of themselves, their heirs, assigns, and legal representatives, releases, waives, and discharges the Studio, its owners, instructors, employees, agents, and affiliates from all liability for any injury, loss, or damage resulting from participation in any classes or use of Studio facilities, including ordinary negligence.
5. Medical Restrictions / Studio Rights
Individuals with chronic conditions, disabilities, or injuries should consult a physician prior to participation If, in the opinion of Studio staff or instructors, participation presents a risk, the Studio reserves the right to deny access Participants may be asked to provide a physician's note confirming fitness to participate Failure to comply will result in denial of class participation Participants consent to emergency medical treatment if required, and understand that all costs incurred are their responsibility
6. Health & Safety Practices
Participants agree to follow all Studio health and safety protocols, including sanitation and equipment instructions Participants may leave class at any time if feeling unwell or unsafe Participants acknowledge that they assume the risk of exposure to communicable diseases and agree to follow Studio hygiene and safety guidelines
7. Voluntary Participation & General Terms
Participation in all Studio classes and use of facilities is voluntary and at the Participant's own risk The Studio reserves the right to refuse service at its discretion This Waiver remains binding indefinitely unless formally withdrawn in writing By signing, the Participant acknowledges they are giving up substantial legal rights, including the right to sue
8. Media Release (Optional)
Participants consent to the use of photos or videos taken during classes or Studio events for promotional purposes Participants waive any rights or claims related to such media
9. Insurance (Recommendation)
Participants are encouraged to maintain personal health, accident, or liability insurance as appropriate.
10. Governing Law & Severability
This Waiver is governed by the laws of the Abu Dhabi Global Market (ADGM) and the United Arab Emirates. Any disputes arising out of or in connection with this Waiver shall be subject to the exclusive jurisdiction of the ADGM Courts. If any provision is found unenforceable, the remaining provisions remain valid and enforceable.
11. Agreement
By signing below, the Participant confirms that they have read, understood, and voluntarily accept the terms of this Waiver, including all risks associated with hot studios, Reformer equipment, and Swing/Aerial Yoga, and agree to participate at their own risk. Verra Wellness — Terms of Service
Welcome to www.verrawellness.co ("the Site"), operated by Verra Wellness LTD ("we", "us", "our", "Verra Wellness", or "the Studio"). By accessing or using our Site or services ("Verra Wellness Services"), you agree to be bound by these Terms of Service ("Agreement", "Terms"). Please read them carefully. If you do not agree with these Terms, you may not access or use the Site or services.
1. Acceptance of Terms
By using the Site or Verra Wellness Services, including visiting, browsing, or booking classes or treatments, you accept and agree to these Terms of Service and any additional rules or policies published on the Site. You must be at least 18 years old or have parental consent to use the Site. By using the Site, you represent and warrant that you meet this requirement.
2. Changes to Terms
Verra Wellness reserves the right, at our sole discretion, to modify or replace these Terms at any time. Updated Terms will be posted on the Site, and the "Effective Date" will be revised. Continued use of the Site or services after changes constitutes acceptance of the new Terms.
3. Purchasing and Using Memberships & Packages
3.1 Classes All classes offered are the duration advertised on the website or schedule. 3.2 Purchasing Memberships, class packs, or individual classes can be purchased via the Site, the Verra Wellness app, or directly in studio. Prices are listed on the Site and are subject to change at our discretion. 3.3 Refund Policy Subject to applicable consumer rights, all charges for memberships or class packs are non-refundable. 3.4 Membership Activation, Commitment & Duration Memberships are charged and activated immediately on the date of purchase. Memberships are subject to a minimum commitment period of up to 3 months depending on the membership tier selected, as detailed at the point of purchase. To cancel, you must provide 30 days' written notice after your minimum commitment period has been completed. Memberships are non-transferable. Class packs are valid for the validity period specified at the point of purchase, which may vary depending on the pack selected. Some packs begin their validity from the date of purchase; others from the date of first use — this is clearly stated at the point of purchase. Class packs cannot be extended except for medical reasons with a valid doctor's note. Class packs are non-transferable, non-sharable, and non-refundable. 3.5 Rate Lock Members who joined on a founding or The Launch Edit membership rate have their monthly rate locked at the rate active at the time of their first payment. This rate will remain fixed for the lifetime of the active membership. The rate lock is non-transferable and applies only while the membership remains continuously active. If a member cancels and subsequently rejoins, the standard rate applicable at the time of rejoining will apply. 3.6 Payments & VAT All prices are exclusive of VAT. A 5% Value Added Tax (VAT) will be applied to all purchases in accordance with UAE Federal Tax Authority regulations. Verra Wellness LTD is registered for VAT under Tax Registration Number 105361387100003, effective 01 April 2026. All online payments must be made via our payment provider. Transactions are subject to validation by your card issuer, and Verra Wellness is not responsible if a card is declined. Any processing or handling fees charged by your bank are your responsibility. 3.7 Promotions Promotional codes may apply only to specific memberships or packages unless otherwise stated and confirmed in writing. 3.8 Mailing List When subscribing, you are automatically added to our mailing list. You may unsubscribe after receiving the first email. 3.9 Membership Freeze All memberships may be paused once per calendar year for up to 60 days. Freeze requests must be submitted via WhatsApp only. Billing pauses during the freeze period and your rate lock is preserved. Freeze requests are not accepted in person or by phone. 3.10 Guest Pass Eligible memberships include a guest pass entitlement as specified at the point of purchase. 1 guest pass is available per month, and the same guest may visit a maximum of 2 times in total across the lifetime of the membership. Guest pass requests must be submitted via WhatsApp with a minimum of 24 hours' notice. Guest passes are non-transferable and cannot be accumulated or carried over. 3.11 Private Sessions Private sessions must be booked via hello@verrawellness.co and paid in advance. Cancellations must be made 24 hours in advance; otherwise, the session credit may be retained for a future session.
4. Membership Billing and Subscriptions
You will be billed automatically for your membership unless cancelled via written notice to hello@verrawellness.co or via WhatsApp. Memberships automatically renew until cancelled in accordance with Section 5 of these Terms. If a payment fails, Verra Wellness will retry within 3 business days. Unresolved failed payments may result in membership suspension until payment is received.
5. Cancelling a Membership & Closing Your Account
All memberships require 30 days' written notice to cancel, submitted after the minimum commitment period has been completed. Notice must be submitted via WhatsApp or email to hello@verrawellness.co. Cancellations requested in person or by phone will not be accepted. Your final billing cycle runs to completion. No partial refunds will be issued. You may close your account at any time via the Site or by contacting us. We may close your account if we believe you have breached any of these Terms. Upon cancellation, you will retain access to paid features through the remainder of the term you have paid for.
6. Your Health and Wellbeing
At registration and during use of our facilities and services, you must be in good health and free of conditions that would prevent safe participation. Failure to disclose health conditions or injury risks to instructors may result in being asked to leave a class. Classes, including hot classes conducted at up to 35°C in the Solara Room, involve intense physical exercise. Participation is entirely at your own risk. You should consult a healthcare professional if you are unsure about your fitness for participation. Instructor guidance does not constitute medical advice. The following conditions are contraindicated for hot room classes: pregnancy, cardiovascular conditions (including hypertension and heart disease), pacemakers, recent surgery, and acute illness or fever. By booking a hot room class, you confirm you do not have any of the above conditions. You must follow instructors' directions at all times. You may not train or coach other clients without prior written permission from Verra Wellness.
7. Medical Disclaimer
By accessing our services, you acknowledge that classes may be physically demanding. You warrant that you are fit and healthy to participate and waive all claims arising from your participation. Prohibited behaviours include but are not limited to: Impersonating others or engaging in offensive conduct; Commercial use of accounts or services; Unauthorised account transfer or sale; Violating network rules, hacking, or uploading malware; Copyright infringement or posting illegal or offensive content; Interfering with the Site, services, or other users. Breach of these rules may result in suspension, restriction, or termination of your account.
8. Cancellation of Classes / No-Shows / Late Entry
8.1 Class Cancellations Classes must be cancelled at least 12 hours before the scheduled start time. Late cancellations (within 12 hours) will result in the class credit being deducted from your pack or membership. No cash penalty applies. 8.2 No-Shows Failure to attend a booked class without cancellation will result in the class credit being deducted. Persistent no-shows (3 or more) may result in account suspension until contact is made with the Studio. 8.3 Late Entry Entry after class start is not permitted for safety and to avoid disruption to other clients. The class credit will be forfeited. First-time clients must arrive at least 5 minutes before class for an introduction.
9. Limitation of Liability
Nothing in these Terms limits liability for death, personal injury, or fraud caused by our negligence. Verra Wellness is not liable for: Service unavailability, technical issues, or outages; Device damage, viruses, or malware; Loss of internet connectivity or mobile charges; Unforeseeable losses beyond the purchase price of subscriptions or classes. Participation in hot or standard classes is at your own risk.
10. Data Protection & Privacy
Your personal data is protected under our Privacy and Cookies Policy, which is incorporated into these Terms by reference.
11. Governing Law
These Terms are governed by the laws of the Abu Dhabi Global Market (ADGM) and the United Arab Emirates. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the ADGM Courts.

Verra Wellness — Purchase Policy

Payment
All purchases at Verra Wellness are processed securely via our online payment provider. We accept major credit and debit cards. Cash payments are not accepted for online purchases. By completing a purchase, you authorise Verra Wellness LTD to charge the full amount to your selected payment method.
VAT
All prices displayed are exclusive of VAT. A 5% Value Added Tax will be applied to all purchases at checkout in accordance with UAE Federal Tax Authority regulations. Verra Wellness LTD is VAT registered under TRN 105361387100003.
Non-Refundable Policy
All class packs and memberships are non-refundable once purchased. This applies to all pricing phases — pre-launch, The Launch Edit, and regular. No exceptions will be made except in the case of a medical reason, supported by a valid doctor's note submitted to hello@verrawellness.co.
Pack Validity
Class pack validity begins from the date of purchase and cannot be extended except for medical reasons with a valid doctor's note submitted to hello@verrawellness.co. The exact validity period for each pack is clearly stated at the point of purchase and may vary depending on the pack selected. For certain packs, validity may begin from the date of first class attended rather than the purchase date — this will be clearly indicated at the point of purchase. Packs are non-transferable and non-sharable.
Pre-Launch Purchases
Purchases made during the pre-launch period are subject to the following: Pack validity begins from the date of purchase Classes can only be booked once the studio has officially opened Founding membership billing begins from the date of purchase By purchasing during pre-launch, you acknowledge and accept these terms
Memberships & Auto-Renewal
Memberships are auto-renewing and will be charged automatically on the same date each month. It is the member's responsibility to cancel their membership in accordance with our Cancellation Policy before the next billing date to avoid further charges. Failed payments will be retried within 3 business days. If payment remains unresolved, your membership may be suspended until the outstanding balance is settled.
Rate Lock
Members who purchase a founding or The Launch Edit membership rate have their monthly rate locked at the rate active at the time of their first payment. This rate lock applies for the lifetime of the active membership. Cancelling and rejoining at a later date will result in the standard rate applying at the time of rejoining.
Promotional Codes
Promotional codes apply only to specific products as stated and cannot be combined with other offers or applied retrospectively to completed purchases. Verra Wellness reserves the right to withdraw or amend promotional offers at any time.
Disputes & Governing Law
This Purchase Policy is governed by the laws of the Abu Dhabi Global Market (ADGM) and the United Arab Emirates. Verra Wellness — Returns & Refund Policy

1. General Policy
All purchases — class packs, memberships, and drop-ins — are non-refundable once purchased. By completing a purchase you acknowledge and accept this policy.
2. Medical Exceptions
Refunds or credit extensions are considered for medical reasons only, with a valid doctor's note submitted to hello@verrawellness.co within 14 days of the medical event. All medical exception requests are approved at Verra's sole discretion.
3. Membership Cancellations
Cancelling a membership does not entitle the member to a refund of amounts already charged. The following applies upon cancellation: • Final billing cycle runs to completion • No partial refunds are issued • Access continues through the end of the paid period
4. Failed or Duplicate Payments
In the event of a failed or duplicate payment charged in error, please contact us immediately at hello@verrawellness.co. We will investigate and process a refund within 7 business days where applicable.
5. Promotional Purchases
Items purchased using promotional codes or at discounted rates are non-refundable under any circumstances.
6. Pack Validity
Class pack validity begins from the date of purchase and cannot be extended except for medical reasons supported by a valid doctor's note. Packs are non-transferable and non-sharable.
